Terms of Service

1. Agreement to terms

By downloading, installing, or using the Services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Services.

2. The Services

Parsely is an iOS food and calorie tracking application. The Services include:

• In-app food logging — type what you ate in plain English and our AI pipeline converts it into structured calorie and macro data;
• Barcode scanning — scan a product barcode to retrieve packaged food nutrition information;
• Photo logging — photograph a meal and our AI identifies the food items and estimates nutrition values;
• Menu & receipt scanning — scan a restaurant menu or a delivery/order receipt and our AI extracts items and nutrition, anchoring calories to the order total where one is shown;
• AI nutrition coach (Sprig) — chat with an in-app AI assistant that suggests meals and answers nutrition questions using your goals and logged data;
• Adaptive strategy — an optional weekly check-in that smooths your weight trend and suggests adjustments to your calorie and macro targets;
• Weight tracking & saved meals — log your body weight over time and save meal templates to re-log quickly;
• Daily dashboard — view your calorie and macro progress, log history, and weight trend; and
• Goal setting — set calorie and macro targets and track progress toward them.

Features may change over time. We may add, modify, or discontinue functionality with reasonable notice where practicable.

3. Accounts and eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Services. We ask your age during onboarding and do not permit anyone under 18 to register; if we learn that a user is under 18, we will terminate the account. You will authenticate using Sign in with Apple — we do not support username and password accounts. You are responsible for all activity that occurs under your account. Notify us promptly at jalen@useparsely.com if you believe your account has been compromised.

4. Subscriptions and billing

Access to logging, parsing, and dashboard features requires an active subscription. Subscriptions are available on the following terms:

• Free trial. New subscribers receive a 3-day free trial. The trial begins when you start checkout through Stripe. If you do not cancel before the trial ends, your payment method will be charged automatically for the selected plan.
• Monthly plan. Billed monthly via Stripe at the price displayed at checkout. Renews automatically each month until cancelled.
• Annual plan. Billed annually via Stripe at the price displayed at checkout. Renews automatically each year until cancelled.
• Apple in-app purchase. Monthly and annual plans are also available via Apple in-app purchase (IAP) at the prices displayed in the iOS App Store, each including a 3-day free trial. IAP purchases are governed by Apple's terms and managed through your Apple ID.

Cancellation. You may cancel your Stripe subscription at any time through the Stripe Customer Portal (accessible from the Parsely app). Cancellation takes effect at the end of the current billing period — you retain access until then. Apple IAP subscriptions must be cancelled through your Apple ID account settings. We do not provide refunds for partial billing periods, except where required by applicable law.

Price changes. We may change subscription prices. We will give you reasonable advance notice of any price increase, and you may cancel before the new price takes effect.

Subscription status. The authoritative source for your subscription status is our database, which is kept in sync with Stripe webhook events. If you believe your subscription status is incorrect, contact jalen@useparsely.com.

5. Health disclaimer — not medical advice

Parsely is a personal productivity and wellness tool, not a medical device, clinical service, or healthcare provider. Nothing in the Services constitutes medical advice, diagnosis, or treatment. Calorie and macro goals suggested during onboarding are general estimates based on widely used formulas (such as the Mifflin-St Jeor equation) and are not personalized medical recommendations.

If you have a medical condition, eating disorder, metabolic disorder, or any health concern that may be affected by calorie tracking, consult a qualified healthcare professional before using the Services. Parsely is not HIPAA-compliant and should not be used to store, share, or transmit protected health information.

6. AI-generated content and accuracy

The calorie and nutrition values displayed in the Services are generated by an AI pipeline that combines web search results and large language model reasoning. These values are estimates and may not be accurate. Factors including preparation method, ingredient variation, and portion size can significantly affect actual nutrition content.

You are responsible for verifying nutrition values before relying on them for any health, dietary, or medical purpose. Parsely makes no warranty as to the accuracy, completeness, or fitness for purpose of AI-generated nutrition data.

Our AI nutrition coach (Sprig) likewise generates general, informational suggestions only. Its replies are not medical, dietary, or professional advice, may be inaccurate or incomplete, and should not be relied upon in place of a qualified professional. The health disclaimer in Section 5 applies in full to Sprig and all AI features.

7. Photo and image uploads

When you use a feature that accepts an image — logging a meal by photo, scanning a restaurant menu or delivery receipt, or attaching a photo in a Sprig chat — you grant Parsely a limited, non-exclusive, royalty-free license to process and analyze that image for the purpose of identifying items, estimating nutrition values, and generating suggestions. Images are compressed and sent to our AI provider (Google Gemini) for this purpose and are not stored on our servers after processing completes. You represent that you have the right to submit any image you provide and that it does not violate third-party rights.

8. Apple HealthKit

Parsely may write nutrition data (calories, protein, carbohydrates, fat) to the Apple Health app on your device with your permission. We do not read health data from HealthKit. Data written to HealthKit is subject to Apple's terms and stored on your device, not on our servers. You can revoke HealthKit access at any time in iOS Settings.

9. Acceptable use

You agree not to:

• Violate applicable law or third-party rights;
• Attempt to gain unauthorized access to the Services, other user accounts, or our backend systems;
• Reverse engineer, decompile, or disassemble any part of the Services except as expressly permitted by law;
• Use automated scripts, bots, or scrapers to interact with the Services in a manner inconsistent with normal use;
• Post to the community feedback board any content that is unlawful, harassing, hateful, deceptive, infringing, or that contains another person's private or confidential information; or
• Use the Services in a way that could damage, overload, or impair our infrastructure or reputation.

We may investigate violations, suspend access, and cooperate with law enforcement as permitted by law.

Community feedback and user content

The Services include a community feedback board where you can submit and upvote feature ideas. Content you post there is visible to other users, and selected posts may be displayed publicly on our website roadmap (shown without your name or identity). Do not post confidential or sensitive personal information.

You retain ownership of your feedback, but you grant Platon Applications LLC a worldwide, non-exclusive, royalty-free, perpetual, and irrevocable license to use, reproduce, display, and incorporate it to operate and improve the Services — including building features you suggest — without obligation or compensation to you. We may, in our discretion, moderate, set or change status labels on, hide, or remove any post, including content that violates these Terms.

Zero tolerance, reporting, and blocking

There is no tolerance for objectionable content (including content that is defamatory, obscene, pornographic, harassing, hateful, threatening, or otherwise abusive) or for abusive users. By posting to the community feedback board you agree not to submit such content.

Every post includes a Report action, and you can block another user so their posts no longer appear for you (manage blocks under More → Blocked users in the app). Reported content is automatically hidden from the board pending review. We review reports and will remove objectionable content and may suspend or remove ("eject") users who post it within 24 hours. To report content or a user, use the in-app Report and Block actions or email jalen@useparsely.com.

10. Third-party services

The Services depend on third-party providers including Supabase (database), Google (AI), Exa (nutrition search), Stripe (payments), Resend (email), PostHog (analytics), and Vercel (web hosting). Third-party terms and privacy policies apply to your use of those services. We are not responsible for third-party services, outages, or data practices beyond our reasonable control.

11. Intellectual property

We and our licensors own all rights, title, and interest in the Services, including software, branding, and documentation. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Services on your authorized Apple devices for your own personal, non-commercial purposes. You may not copy, modify, distribute, sell, sublicense, or reverse engineer any part of the Services except as expressly permitted by law.

You retain ownership of the content you log (your food descriptions, weight entries, and meal data). By submitting content to the Services you grant us a limited license to process and store it as necessary to operate the Services.

12. Confidentiality

If we share non-public information with you that is marked as confidential or that you reasonably should understand to be confidential, you will protect it and use it only for the purpose provided.

13. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY OF AI-GENERATED NUTRITION DATA. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT AI NUTRITION ESTIMATES WILL BE ACCURATE OR COMPLETE.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL PLATON APPLICATIONS LLC, ITS AFFILIATES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, HEALTH OUTCOMES, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

15. Indemnity

You will defend, indemnify, and hold harmless Platon Applications LLC and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of applicable law or third-party rights.

16. Termination

You may stop using the Services at any time and delete your account through the More tab in the app. We may suspend or terminate your access if you materially breach these Terms, create legal exposure for us, or if we discontinue the Services. We will give reasonable advance notice of Service discontinuation where practicable.

Provisions intended to survive termination — including Sections 5 (Health disclaimer), 6 (AI accuracy), 11 (Intellectual property), 13 (Disclaimers), 14 (Limitation of liability), 15 (Indemnity), and 19 (Governing law) — will survive.

17. Service availability

We strive for reliable operation but do not guarantee uninterrupted availability. The Services depend on third-party infrastructure (including Supabase, Google APIs, and Railway) and may be affected by outages or maintenance outside our control. AI parsing latency may vary.

18. Changes to these Terms

We may modify these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. For material changes, we will provide additional notice (such as an in-app notification or email). Continued use after the effective date constitutes acceptance of the revised Terms.

19. Governing law and disputes

These Terms are governed by the laws of State of Delaware, United States, excluding conflict-of-law rules. Courts located in that jurisdiction will have exclusive jurisdiction over disputes, unless applicable law requires otherwise. Nothing in this section prevents you from asserting consumer protection rights available under the law of your country of residence.

20. General

These Terms constitute the entire agreement between you and Platon Applications LLC regarding the Services and supersede prior agreements on the same subject. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices to us should be sent to the address below.
